Acceptance & Scope

Your agreement to these Terms governs access to and use of our ERP.

By accessing or using the Al Masar Al Saree FZCO online ERP (the “Portal”), you agree to be bound by these Terms & Conditions (“Terms”). These Terms apply to all users, including Admins, Customers, and Suppliers, and govern activities related to purchasing, selling, bidding, invoicing, and uploading payment documents.

These Terms operate alongside any signed contracts, purchase agreements, framework agreements, and applicable UAE laws and regulations. In the event of a conflict, a signed agreement will prevail to the extent permitted by law.

Accounts & Eligibility

Accuracy, security, and authorization requirements.

Account Creation

  • Users must provide accurate, complete information and keep credentials secure.
  • Access is limited to authorized personnel of the registered company or individual.

Eligibility & KYC

  • We may request KYC documents (trade license, TRN, IDs) and verify legitimacy.
  • We may suspend or terminate accounts for non-compliance or fraudulent activity.

Security & Responsibility

  • Users are responsible for all actions under their account.
  • Promptly report unauthorized access or security incidents.

Orders, Quotations, Invoices & Payments

How transactions flow through the Portal.

Purchase & Sales Orders

  • Customers may submit POs with target prices; Admin reviews and may accept, reject, or counter.
  • Orders are subject to stock availability, verification, and internal approval.

Quotations & Pricing

  • Quotations include validity windows and may change due to market conditions or errors.
  • Prices generally exclude VAT, duties, and shipping unless stated otherwise.

Invoices & Payment Proofs

  • Invoices reflect agreed terms; Customers must upload bank slips/remittance proof after payment.
  • Suspicious or unverifiable payments may trigger compliance review or suspension.

Delivery, Risk & Returns

Shipping terms and after-delivery responsibilities.

Shipping Terms

  • Delivery terms (e.g., Incoterms) specified per transaction.
  • Risk, insurance, and logistics liabilities follow agreed Incoterms.

Inspection & DOA

  • Inspect goods on receipt; Dead-on-Arrival claims must be raised within stated timelines.
  • Returns require prior authorization and compliance with RMA policies.

Export Controls

  • Users must comply with export/import laws and sanctions applicable to the goods.

UAE Legal Compliance

Mandatory adherence to UAE regulations.

VAT & Tax

  • UAE VAT compliance is mandatory (TRN, invoicing, reporting).
  • Prices may exclude VAT; tax applied as per law.

AML-CFT

  • Anti-Money Laundering & Counter-Terrorism Financing obligations apply.
  • We may request additional documentation and report suspicious transactions.

Sanctions & Prohibited Use

  • No dealings with sanctioned parties or prohibited goods.
  • Non-compliance may result in termination and reporting.

Supplier Bidding

Fairness, confidentiality, and integrity rules.

Bidding Process

  • Admin may invite bids; submissions remain confidential.
  • Lowest qualified price is preferred, subject to quality and policy.

Validity & Accuracy

  • Bids must be valid for stated periods and factually accurate.
  • Misrepresentation may lead to disqualification or penalties.

Award & Conversion

  • Admin reserves right to award, split awards, or cancel bidding.
  • Award may convert to PO subject to final terms.

Data Protection & Acceptable Use

Privacy, security, and usage standards.

Privacy (UAE PDPL)

  • We process data per UAE PDPL and applicable regulations.
  • We implement safeguards and retain data as required by law.

Acceptable Use

  • No abuse, hacking, scraping, spamming, or interference with Portal operations.
  • Respect intellectual property and confidentiality.

Intellectual Property

  • All Portal content and systems are protected; no unauthorized copying or reverse engineering.

Liability, Indemnity & Termination

Limits and rights reserved.

Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, loss of profits, or data arising from Portal use.

Indemnity

Users shall indemnify and hold us harmless from claims arising out of misuse, unlawful transactions, or breach of these Terms.

Termination & Suspension

We may suspend or terminate access for violations, fraud, or legal/compliance concerns, with or without notice subject to legal requirements.

Governing Law & Dispute Resolution

Governing Law

These Terms are governed by the laws of the United Arab Emirates.

Jurisdiction

Courts of Dubai (UAE) shall have exclusive jurisdiction, unless otherwise agreed in a signed contract.

Pre-litigation: Parties shall attempt good‑faith resolution within 15 days before formal proceedings.
